1. Introduction and Acceptance of Terms

Welcome to Primexa Global ("Primexa", "we", "us", or "our"). These Terms and Conditions govern your access to and use of the Primexa website, platform, and services (collectively, the "Platform"). By registering an account, submitting an RFQ, or utilizing our network, you ("User", "OEM", "Buyer", or "Supplier") agree to be bound by these Terms. If you do not agree, you must not use our Platform.

2. Description of Services

Primexa operates as a technology-enabled manufacturing execution partner. We provide a digital platform that connects Original Equipment Manufacturers (OEMs) and buyers with a verified network of third-party manufacturing suppliers. Our services include, but are not limited to, RFQ management, supplier matching, commercial evaluation, production monitoring, and quality inspection coordination.

3. Account Registration & Security

• Eligibility: You must be a legally registered business entity or an authorized representative of a business to use our Platform.
• Accuracy: You agree to provide current, accurate, and complete information during registration and keep your profile updated.
• Security: You are responsible for safeguarding your account credentials. Primexa is not liable for any loss or damage arising from unauthorized access to your account.

4. Intellectual Property & Confidentiality

• User Content: By uploading CAD files, technical drawings, specifications, or other proprietary data ("Technical Data"), you grant Primexa a limited, non-exclusive license to share this data with our verified suppliers solely for the purpose of quoting and manufacturing your order.
• Confidentiality: Primexa enforces strict confidentiality. We obligate all network suppliers to sign Non-Disclosure Agreements (NDAs) before viewing your Technical Data. Primexa will assist in enforcing your rights regarding third-party breaches.
• Primexa IP: All software, design, logos, and workflows on the Platform are the exclusive property of Primexa Global. You may not reverse-engineer, copy, or distribute our platform technology.

5. RFQs, Quotations, and Orders

RFQs must include accurate specifications, tolerances, and material requirements. Quotes provided through the Platform are valid for 14 days unless stated otherwise. An order becomes a binding contract once a quote is formally accepted and a Purchase Order (PO) is issued. Primexa acts as the execution partner, but the physical manufacturing is performed by our network suppliers.

6. Payment Terms

Payment terms, milestones, and methods will be outlined in the final commercial agreement for each specific order. The Buyer is responsible for all applicable taxes, shipping duties, and customs fees unless explicitly stated in the quotation. Overdue invoices may incur a late fee of 1.5% per month until paid in full.

7. Quality Assurance & Returns

Primexa facilitates quality inspections based on the agreed-upon standards prior to dispatch. If delivered components do not meet the approved engineering drawings or tolerances, the Buyer must notify Primexa in writing within 14 days of receipt. Primexa will coordinate with the manufacturer to repair, rework, or replace defective parts at no additional cost, provided the defect is a manufacturing error.

8. Limitation of Liability

To the maximum extent permitted by law, Primexa Global shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform or the manufactured goods. Our total liability for any claim arising from an order shall not exceed the total amount paid to Primexa for that specific order.

9. Force Majeure & Governing Law

Neither party shall be held liable for any delay or failure to perform obligations due to events beyond reasonable control (natural disasters, pandemics, strikes, supply chain disruptions). These Terms shall be governed by and construed in accordance with the laws of Maharashtra, India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Chhatrapati Sambhajinagar.
